By accessing the Offra platform, you agree to these Terms of Service. Please read them carefully.
1. Acceptance of terms
Using the Offra platform constitutes your acceptance of these Terms. If you do not agree, you must not use the service.
2. Service description
Offra, operated by Consuly Pte. Ltd., is an AI-assisted SaaS platform that helps construction companies organize bid responses, identify requirements, and build a review-ready completion checklist. Offra is an assistance tool and does not provide legal advice. Offra does not guarantee completeness, legal compliance, tender acceptance, or award outcomes. Your team remains responsible for reviewing, validating, and submitting your bids. The service is provided as-is.
3. Intellectual property
All rights relating to the Offra platform, including source code, algorithms and design, belong to Consuly Pte. Ltd. (operator of the Offra platform). Your documents remain your property. By uploading them, you grant us a limited license to process them solely for the purpose of providing the service.
4. Limitation of liability
Offra is provided "as-is" and "as-available", without warranty of any kind. To the maximum extent permitted by law, Offra shall not be liable for any lost contracts, missed or lost submissions, bid errors, missed requirements or deadlines, or any other direct or indirect damages arising from use of the platform — including those resulting from errors, omissions, inaccuracies, interruptions, downtime, or other faults on Offra's side, and from any AI-generated analyses or checklists. Because Offra is an aid and not a substitute for your own review, the final responsibility for verifying conformity rests with you. Offra's total aggregate liability is in all cases limited to the amounts you paid in the preceding 12 months.
5. Your responsibility and final review
Offra is an advisory and organizational aid only and does not replace your own review. The analyses, requirement lists, and completion checklists it produces are aids — not authoritative or definitive sources. You and your team must independently read, verify, and confirm the original tender documents in full, and ensure 100% conformity of every submission, before it is filed. You remain solely responsible for the accuracy and completeness of your bids and for meeting all deadlines.
6. Your data and artificial intelligence
The documents you upload remain yours. We process them only to provide the service to you, and your data is never used to train AI models — ours or our providers'. We contract only with AI providers whose terms forbid training on customer content and limit retention to what is needed to return a result. The tender and award records Offra shows you come from public procurement registries, never from another customer's workspace, and nothing you upload is used to build our benchmarks or to serve anyone else. Our Privacy Policy names each provider we use and explains what it handles, how long data is kept, and how to exercise your rights over it.
7. Subscription, billing and renewal
Offra is sold as a subscription, priced in US dollars. Monthly plans are charged on the same day each month. Annual plans are charged in full, up front, for the entire twelve-month term. Every subscription renews automatically at the end of its term, at the price then in effect for your account, unless you cancel beforehand. Payment is by card, processed by Stripe; buyers outside the United States may be shown their local currency at checkout while the underlying price remains in US dollars. Prices are exclusive of any applicable taxes, which are added at checkout where required. We do not offer a free trial on self-serve checkout; where free days are granted under a promotional offer, they require no card unless stated in that offer and convert to a paid subscription at the end of the period unless you cancel first. If you subscribe on a monthly plan and switch to the annual plan for the same or a higher tier within 30 days of that subscription starting, we apply a one-time credit equal to the first monthly amount you paid against your first annual invoice; the credit is available once per workspace and does not recur at renewal. We email you before each renewal, stating the amount and the date.
8. Cancellation and refunds
You may cancel at any time from Settings → Billing in the application, or by writing to billing@offra.cc. Cancellation takes effect at the end of the period you have already paid for: your access, data and features continue until that date, and there is no partial or pro-rata refund of a monthly or annual charge. You can reverse a cancellation at any point before it takes effect. Charges already invoiced are non-refundable, except where refund is required by law or where we have made a billing error — which we will correct.
9. Price changes
The price you paid is locked for the period you paid for. We may change our prices, but a change never applies to a term you have already paid: it can take effect only at your next renewal, and only after we have given you at least 60 days' written notice by email to the address on your account, stating the new price and the exact date it first applies. Until that date, nothing changes. If you do not wish to continue at the new price, you may cancel at any time before the effective date at no cost or penalty, and keep full access through the end of the term you already paid for. Continuing the subscription past the effective date constitutes acceptance of the new price.
10. Governing law
These Terms are governed by the laws of Singapore. Any dispute shall be subject to the exclusive jurisdiction of the courts of Singapore.
